Beta Program Terms

LaneUpPro officially opens on October 15, 2026 as a public beta. These Beta Program Terms supplement the Terms of Service and apply from October 15, 2026 until October 15, 2027, or until an earlier general-availability date that we announce with at least 30 days' notice (the "Beta Period").

During the Beta Period these terms control over the other documents in the legal suite on the matters they cover. Everything else in the Terms of Service and the documents it incorporates continues to apply. Capitalized words have the meanings given in the Terms of Service, and "we," "us," and "Apex" mean Apex Auto Group Inc..

1. What "beta" means

The Platform is fully live during the Beta Period: vehicles, bids, offers, and Sales are real and binding, and payments are real and processed by Stripe. What is still being refined is the software and the way we operate it. You may meet defects, outages, slower support, and changes to features, screens, limits, and workflows.

Beta status does not change anyone's obligations under a Sale. The Vehicle Condition Arbitration Policy, the Title Policy, and the Fee Schedule apply in full.

2. Changes during the beta

We may add, change, pause, or remove features, limits, and workflows during the Beta Period. Material changes to the legal documents are announced as Section 23 of the Terms of Service describes, and fee changes never apply to a Sale already formed.

Any beta-only price, fee waiver, credit, or promotion lasts only as stated when it is offered, and in any case no longer than the Beta Period unless we say otherwise. It creates no right to the same terms afterward.

3. System errors: correct, void, and restore

If a system error, software defect, outage, data or display error, or security incident materially affects an auction, bid, offer, negotiation, Sale, fee, balance, or payout, we may pause, extend, re-run, correct, cancel, or void the affected activity and restore the affected records to where they would have been without the error. This applies together with Section 6 of the Terms of Service and the Platform Operations policy in the Participation Policies.

When we void or cancel a Sale under this section, every amount you paid for it — the vehicle payment, fees, and any add-ons — is refunded in full, to the original payment method or, where that is not possible, to your Platform Balance, and neither party is in default. To the extent permitted by law, this full refund and restoration is the remedy for a transaction affected by a system error during the Beta Period.

We will tell the members affected what happened and what we did about it.

4. Internal review first

If something goes wrong with the Platform during the Beta Period, contact us first, through the Platform's dispute tools or at support@laneuppro.com, with a description of the problem, the listing or deal involved, and what you are asking for. Vehicle condition claims continue to follow the Vehicle Condition Arbitration Policy and its deadlines.

We will investigate and send you a written decision. You agree to give us 60 days from the day we receive your notice to resolve the matter before you start an arbitration or a small-claims case about it, unless the law requires a shorter period or you need urgent relief to prevent irreparable harm or the loss of a legal deadline. For matters arising during the Beta Period, this 60-day review replaces the 30-day informal period in Section 21 of the Terms of Service.

If the internal review does not resolve the matter, Section 21 of the Terms of Service applies as written: individual binding arbitration, the class-action waiver, the small-claims option, and the public buyer's right to opt out of arbitration.

5. Notice and claim deadlines

So that records are fresh and errors can be fixed, please tell us about a Platform problem (other than a condition claim, which has its own deadline) within 60 days after you learn of it.

To the extent permitted by law, any claim against Apex arising during the Beta Period must be raised in the internal review within one year after it arose, or it is waived.

6. Liability during the beta

The disclaimers in Section 18 and the limitation of liability in Section 19 of the Terms of Service apply in full during the Beta Period. They cover losses caused by beta defects, outages, and feature changes, including a missed opportunity to bid, buy, or sell.

Features we label "beta," "preview," or "experimental" are offered as they are, may change or end without notice, and should not be relied on as the only record of anything important. Keep your own copies of documents you need.

7. Feedback and records

Suggestions, bug reports, and other feedback are voluntary. We may use them to improve the Platform without restriction or payment to you. Please do not put confidential information in feedback.

We may reset demo or test content and settings during the Beta Period. We never delete records we are required to keep, such as transactions, payments, signed agreements, disputes, and title and odometer records.

8. Rights these terms do not limit

Nothing in these Beta Program Terms:

  • waives or limits any right or remedy that applicable law does not allow to be waived or limited by contract, including rights under federal and state consumer-protection, lemon-law, odometer, and used-vehicle laws;
  • limits your right to contact or file a complaint with a government agency, such as the Federal Trade Commission, a state attorney general, or a motor vehicle department;
  • limits rights you have with your bank or card issuer that the law gives you;
  • limits our liability for our own fraud, gross negligence, or willful misconduct; or
  • lets us apply these terms to a Sale formed before October 15, 2026.

If any part of these terms is held unenforceable for a member, that part is enforced to the extent the law allows and the rest continues to apply.

9. End of the beta

The Beta Period ends on October 15, 2027, or earlier on a general-availability date we announce with at least 30 days' notice. We may extend it by giving at least 30 days' notice before it ends.

A Sale formed during the Beta Period stays governed by the documents in force when it was formed, including these Beta Program Terms, until it is complete.
